need advices on Corporate Law~

Hello,

I'm doing Corporate Law as a compulsory breadth subject for the Bachelor of Commerce with accounting and finance majors.

I'm kind of struggling with this subject right now as I had to worry about tests and assignments for other subjects and I kind of just left this subject behind. So during tutorials, I could only understand like 30% of what people are discussing, and the tutor doesn't always write everything important notes on the board. I have wrote some summary of the textbook for a few chapters but I'm still not confident in tackling questions.

Furthermore, I found that some contents in the textbook are not mentioned in the lecture, should I just disregard them? What are some study tips of this subject?

Any helps would be appreciated.

From my perspective (haven't done this subject) - whatever is in the lectures, is what is important. Sure, extra textbook knowledge is great, but, if it's not mentioned in the lectures and your quite behind, I'd suggest disregarding them and trying to focus down the main points. If your struggling with topics use the textbook, but don't overload yourself with 'unnecessary' info.

Claw is a subject where te MOST important thing is to have a perfect set of notes to bring into the exam. The lectures give the bare minimum of the case laws and statutes for you to use in tutorials and exams. The best way to prepare or the subject is to sit down and take notes on the textbook - then bring that to tutorials to discuss. This is the ONLY way to remember everything taught in the subject.

You should aim so that your notes are so complete, clear and concise that it is the ONLY reading material you bring into the exam. Many students make the mistake of just bringing in the textbook - you will find that you will have no time o consult the textbook if you want to finish the exam.

I brought in only my notes to the exam (it was big - 150 odd pages excl. table of content) - and I only referenced them for relevant case law to support the statute. By the time I finished making notes, I essentially knew the relevant sections of CA off the top of my head (the time spent taking those notes is an excellent memory aid). Even then, I barely managed to finish the exam and it was a mess.

The whole excercise took me at least double the time and effort put in for a normal commerce subject, but in the end - I guarantee itll be worth it.

Yeah making detailed notes is essential. Also a table of contents is essential. For my notes I also included the page number from the textbook next to every heading in my notes (e.g. requirements for apparent authority, indoor management rule etc) so i dont need to waste time finding it in the textbook if i need to.
The lecture only covers the minimum of what you need to know, there simply isn't enough time to cover all the content in the lecture so don't skip over the parts in the textbook that isn't in the lecture.

You will have approx 4-5 long answer questions. You will need to be able to write at least 2 - 3 pages for each question. If you have a concise set of notes, this is fairly easy to do since the statutes and the relevant case laws can take up to 3/4 to a page. Leaving you with relatively minimal explanation.

I spent most of the exam regurgitating my notes and elaborating on the case law. I managed to use a 2nd booklet - if you can do that, you should be fine.
