second and third round offers

just wondering, whats the process behind deciding 2nd and 3rd round offers? is it just drop outs/deferrals that free up places or are there more factors considered?

and lets say you didn't get your top pref for first round. get you get itt 2nd round or it's all over for first pref.

i got my first pref, but I'm only like 75% sure I want it.. kinda thinking about my 2nd pref.. but there's pretty much no chance with an irregular offer, is there? There's only like 40 places in my second pref??
